User agreement

Welcome to the Challenge:Future web site at www.challengefuture.org ("Site"). The Site is operated by Challenge:Future Consortium, established by Third Millennium Knowledge, CEEMAN and IEDC Bled School of Management ("C:F"), and the materials on the Site are owned by Challenge: Future. The Site may also include materials owned by third parties and posted on the Site by virtue of a license, grant or some other form of agreement between the third party and C:F.

PLEASE READ THIS USER AGREEMENT CAREFULLY. This legal notice applies to the entire contents of this website under the domain name www.challengefuture.org and to any correspondence by email between us and you. Please read these terms carefully before using this website. Using that website indicates that you accept these terms regardless of whether or not you choose to register with us. If you do not accept these terms, we advise you not to use this website. Challenge:Future may revise these Terms and Conditions at any time by posting un updated version to this website. You agree to be bound by any changes to this Agreement when you use the Site after any such modification is posted. It is therefore important that you read this page regularly to ensure you are updated as to any changes.

1.
The Site. This Site provides a service ("Service(s)") whereby C:F enables Corporate Challengers and Premiere Partners to access global network of students by posting specific innovative challenges and collaborate with youth to develop sustainable solutions. The competition comprises of three rounds. In first, the ideation solutions are required upon the annual theme, which changes every year. In semi-finals, all the selected teams participate in solving specific corporate challenges, provided by Corporate Challengers. The finalist, in the last stage, are confronted head-to-head in the final event and do not collaborate virtually. The project-rooms, protected areas of the teams, are available only for the teams using them and the mentors. The Corporate Challengers and Premiere Partners do not have access to the project rooms. By using this Site, you acknowledge that C:F does not control in any manner the nature, quality and legality of challenges. You agree that C:F is a neutral forum for challenges and student's solutions. You agree that your continued access to and use of the Site constitutes valid consideration received under this User Agreement and any new versions thereof. You will be able to access some areas of this Site without registering your details with us. However, most areas are only open to you if you register.

C:F reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the C:F at any time, for any or no reason, with or without prior notice, and without liability.

2.
Eligibility. The Site is not available for use of minors (those under 18 years of age, or otherwise under applicable law), or individuals or organizations who cannot form legally binding contracts under applicable law. If you don’t qualify, please do not use this Site. If you reside in a country that is prohibited by law, regulation, treaty or administrative act from entering into trade relations with Slovenia, United States or either country’s citizens, you may not use this Site. The site is available for undergraduate and graduate students from any university or school without any registration costs are eligible. The age limitation for the registering to the Site is set in such limits that those born after 4 March 1979 and before 4 March 1992 cab only register. The registered users have to be students and define or choose from the existing list the university or faculty or school or organization. The qualified semi-finalists will have to provide the academic proof before starting the final round. If they fail to do so, they would be qualified and won’t be able to participate in the final round of competition. However, team creator has the first responsibility to assure his/her team is eligible. The Academic proof is official documentation that shows that the contestant was a student to an accredited academic institution either at the time they registered for the contest, or at the time they submitted their entry. It is certainly understandable that some students may, for example, sign up for a competition while they are a Senior, then graduate before the contest closes. If this is the case the contestant is still eligible to win prizes. Winners will have the option of e-mailing, faxing or regularly mailing their academic proof and original files. Academic proof can be any of the following:
a.
A copy of a student ID card that shows that student as an active student during the time of the competition.
b.
A note (typed or handwritten) on official school or department letterhead signed and dated by school Administration or Faculty that states that the winner was a student there at a relevant time.

Challenge:Future has the right to authenticate the provided Academic proofs with the schools in order to validate them. Failure to abide by terms and conditions of this Agreement, any other challenge specific terms, or any other rules or agreements governing this Site and the service, may result in C:F refusing your registration, or deactivating your registration or refusing to qualify you in the next stages of the competitions.

3.
Registration. You may cancel your registration at any time by contacting support@challengefuture.org. As part of the registration process, you will be asked to select a password and a login name. You agree that your registration information at all times correctly represents your qualifications, student status and your real name and address. You may not use a login name of another student. You may not disclose or share your password with any third parties or use your password for any unauthorized purposes. You agree to notify C:F at security@challengefuture.org of any unauthorized use of your account or breach of security, including loss, theft, or unauthorized disclosure of your password or login information. You are solely responsible for any and all use of your account.

4.
Other’s Information. Challenge:Future does not guarantee the accuracy of the Site or ownership of any information in Challenge Solution unless otherwise stated in the Challenge description posted. While C:F believes such information to be posted in good faith, C:F does not control the information provided by others that is made available through the Site. Other users’ information may be inaccurate. If you have a dispute with another user of the Site or the Services, you hereby release C:F from all claims of any kind arising out of such dispute, notwithstanding any statutory rights you may have in your jurisdiction of residence regarding enforceability of said waiver.

5.
Your Information. You have the opportunity to communicate with other users. Any information you provide to C:F or other users during your registration or use of the Services, in any public message area, through any mail feature, or otherwise generated out of your use of the Services, is subject to the following:
a. Your content. You are solely responsible for the content of your information, postings, or solution submitting. C:F acts merely as a conduit for the distribution and/or publication of that information. C:F reserves the right to take any action with respect to such information that it deems necessary or appropriate in its sole discretion if C:F believes such information is inappropriate for the Site or the Services, may create liability for C:F, or may cause C:F to lose (in whole or in part) the services of its Internet service provider, advertisers, or other suppliers. You agree that your information will be accurate and will not, to the best of your knowledge: (a) infringe any third party's copyright, trademark, patent or other proprietary rights or rights of publicity or privacy, (b) violate any law (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising), or (c) be unlawfully threatening, or unlawfully harassing. You may be asked to make legally binding warranties and representations to C:F and the Partners in relation to Challenge Submission that you submit. b. Privacy. C:F will only use your information in accordance with its Privacy Policy as posted on the Site.

6.
Ownership and Limited License. Challenge:Future shall retain all ownership in the Site and all content generated by it that it is displayed on the Site. C:F grants you a nonexclusive, revocable right to use the Site provided that you don’t:
a.
Copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code
b.
Modify or attempt to modify the Site in any manner or form except that you have the right to modify the self-generated content on the Site. You agree that C:F shall not be liable to you for any modification or discontinuance of the Site and C:F may discontinue the Site and the service without any notice to you.

7.
Compliance with Rules. You agree not to use any device, software or routine to interfere with the proper working of the Site or which is intended to damage, interfere with, surreptitiously intercept or expropriate any system, data or personal information. You agree not to take any action (including without limitation, spamming) that imposes an unreasonable load on our infrastructure. You agree not to take any actions which may undermine the integrity of our system or the Services, such as: using the Site in violation of local, state, national or international law; uploading of files or content that contain material that violates the intellectual property rights of any third party. You are solely responsible for compliance with all applicable laws and regulations regarding your use of the Services and the transfer of the technologies or information with which you are involved, including without limitation, import/export requirements, and C:F expressly disclaims any liability or responsibility thereto.

8.
Premiere Partners and Corporate Challengers and ‘Partner IP’.
a.
Corporate Challengers are companies that have entered into an agreement with C:F in order to participate in the Challenge:Future. Corporate Challengers frame together with C:F a Challenge, which is an opportunity, problem or other issue to be addressed by C:F student community in the areas of innovation and sustainability. There are 6 challenges. There is an Annual theme and 6 subthemes according to 6 challenges. In the first round, only Premiere Partners participate partially in the framing of ideation challenges. In semi-finals, the Corporate Challengers enter with customized challenges for their company and according to the pre-defined subthemes. Each challenge releases a description to the student community and any additional requirements, documents, uploads governing the challenge. In finals, Premiere Partners and Corporate Challengers have to opportunity to work closely with the students at the final event, which does not take place virtually.
b.
‘Partner IP’ means, with respect to a Premiere Partner, Corporate Challenger, student user or C:F, such intellectual property, and all or part of the intellectual property rights therein, which are developed by, owned by or licensed to such party or person, either prior to, or independent of, any services being provided pursuant to this Agreement, including, but not limited to, the entire right, title and interest in all copyrights therein, including the right to reproduce the work, distribute copies of the work, to perform the work publicly, display the work publicly; and all rights in derivative works based upon the subject work, if any; trade mark registrations and applications and all trade mark rights represented thereby; patents and patent applications, together with all reissues, divisions, continuations, extensions and renewals thereof and the inventions claimed therein. Each party, as well as each Premiere Partner and Corporate Challenger, shall retain all rights in its own Partner Intellectual Property. Challenge descriptions may contain said Partner Intellectual Property. Partner grants you a limited license to use its Intellectual Property solely for the purposes of developing your proposed solution to a challenge.

9.
Team rules.
a.
Active registration. In order to participate in the C:F, the user must maintain an active registration with the C:F. The user’s registration is deactivated if C:F is unable to contact the user using the contact information provided by the user in his profile or if the user has violated any of the C:F Rules or User Agreement.

b.
Team creation. If user chooses to work on challenges, he has to join an existing team or create his own and invite other users to be members of his team. The Team must be registered with C:F. By joining a Team, its members all agree to share any reward for a winning solution equally amongst all team members. All team members also agree that the Team Creator has the exclusive right to determine when a Solution is submitted and the content of a submitted solution. He has exclusive right to close the team, when the team is complete (min. 2 and max. 4 members). He has the exclusive right to delete a team, which means the team profile is deleted completely and therefore no longer able to participate in competition. A Team is created for a single challenge and must be created prior to the specific challenge announcements. Team is though created for one of the annual subthemes, which is later, in the semi-finals, transformed in specific corporate challenge. One team can participate in several challenges, however, one user can only participate in one challenge. User can be a member in different teams for different challenges.

c.
Team invitations. A Team Creator has the exclusive right to add additional members to the Team and can do so only by issuing an invitation on the C:F. An invitation tells the prospective Team member who the Team members are, he can view the Team profile, what challenge they will be collaborating .

d.
Team changes. After the team creation period is over, which is when the actual challenges are announced (according to the published timeline), a person who is designated as a Team member for a particular challenge cannot switch to another Team for that challenge or be dropped from the Team.

e.
There is a set of notifications for the team members for any changes in team status (closing the team, deleting the team, accepting new members, changing the name of the team, submitting final solution – which is done exclusively by Team creator).

f.
Project Room. The team has its working space provided in Project Room. Each team uses a Project Room for a specific challenge. The Project Room is intended solely for the Team members and the mentors use. All the content uploaded and posted in wiki-space is confidential for the use of the Team. However, the content should apply the challenge requirements. Any misuse of the Project Room is prohibited. C:F has the irrevocable and exclusive right to without any prior notice remove any of the prohibited content according to these Terms and Conditions.

g.
Content. C:F nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content. You are solely responsible for the Content that you post, and any material or information that you transmit to other Members and for your interactions with other Members. C:F does not endorse and has no control over the Content.

h.
Content/Activity Prohibited. The following is a partial list of the kind of Content that is illegal or prohibited to post. C:F reserves the right to investigate and take appropriate legal action against anyone who, in C:F’s sole discretion, violates this provision, including without limitation, removing the offending communication from the C:F and terminating the membership of such violators. Prohibited Content includes, but is not limited to Content that, in the sole discretion of C:F:

i.
is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;

j.
harasses or advocates harassment of another person;

k.
exploits people in a sexual or violent manner;

l.
contains nudity, violence, or offensive subject matter or contains a link to an adult website;

m.
solicits personal information from anyone under 18;

n.
promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;

o.
promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;

p.
involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";

q.
contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);

r.
furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;

s.
solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;

t.
involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;

u.
includes a photograph of another person that you have posted without that person's consent; or

v.
for band and filmmaker profiles, uses sexually suggestive imagery or any other unfair, misleading or deceptive Content intended to draw traffic to the profile.

The following is a partial list of the kind of activity that is illegal or prohibited on the C:F Site. C:F reserves the right to investigate and take appropriate legal action against anyone who, in C:F's sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:

w.
criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;

x.
advertising to, or solicitation of, any Member to buy or sell any products or services through the C:F. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the C:F Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent.

y.
any automated use of the system, such as using scripts to add friends or send comments or messages;

z.
interfering with, disrupting, or creating an undue burden on the C:F or the networks or services connected to theC:F;

aa.
attempting to impersonate another Member or person;

bb.
using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;

cc.
selling or otherwise transferring your profile;

dd.
using any information obtained from the C:F Services in order to harass, abuse, or harm another person;

ee.
displaying an advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through the C:F Services on behalf of that person, such as placing commercial content on your profile, posting blogs or bulletins with a commercial purpose, or sending private messages with a commercial purpose; or

ff.
using the C:F Services in a manner inconsistent with any and all applicable laws and regulations.


10.
Competition rounds Rules. The competition consists of three phases: first round, semi-final round and the third, final round. In first, the ideation solutions are required upon the annual theme, which changes every year. In semi-finals, all the selected teams participate in solving specific corporate challenges, provided by Corporate Challengers. The finalist, in the last round, are confronted head-to-head in the final event and do not collaborate virtually. The project-rooms, protected areas of the teams, are available only for the teams using them and the mentors. The Corporate Challengers and Premiere Partners do not have access to the project rooms.

As a student, you may submit to C:F a Challenge Solution in response to any of the 6 challenges. You may submit a solution only when you are an accepted team member of the selected teams or a Team Creator, creating your own team. The required membership is minimum 2 and maximum 4 members per team. When the team is created and starts working on challenges, the participation includes acceptance of the C:F Team Rules. To the extent that your solution includes the Partner Intellectual Property, you will have a non-exclusive, royalty-free, worldwide, irrevocable license to use, copy, modify, exploit, transfer and sublicense such partner Intellectual Property only in connection with the development of your solution and subject to the terms and conditions of this Agreement and any Challenge-Specific terms.

By submitting your solution you grant C:F and the Partner a non-exclusive, worldwide license to use, copy, and distribute and create derivative works of the Solution for purposes of review, analysis and testing the Solution. When you have submitted the solution, you are prohibited from (a) using the Solution or (b) disclosing to or granting or assigning or transferring any rights to a third party to use the Solution for any purpose. The authors of each solution will retain all rights regarding its use at all times prior to and following the competition except as stated below. Due to the nature of the competition, we will not ask judges, reviewers, staff or the audience to agree to or sign non-disclosure statements for any participant. All public sessions of the competition, including but not limited to oral presentations and question/answer sessions, are open to the public at large. Any and all of these public sessions may be broadcast to interested persons through media, which may include radio, television and the Internet. Any data or information discussed or divulged in public sessions by entrants should be considered information that will likely enter the public realm, and entrants should not assume any right of confidentiality in any data or information discussed, divulged or presented in these sessions. Challenge:Future, the organizer, may make photocopies, photographs, videotapes and/or audiotapes of the presentations, including all documents, charts, videos or material prepared for use in presentation at the C:F. Students retain all proprietary rights. C:F may use the materials in any book or other printed materials and any videotape or other medium that it may produce, provided that any profits earned from the sale of such items is used by C:F solely to defray the costs of future competitions. C:F has non-exclusive world rights, in all languages and in all media, to use or to publish the materials in any book, other printed materials, videotapes or other medium and to use the materials in future editions thereof and derivative products.

If a Challenger accepts your team's solution in response to a challenge as the final winner, your team is entitled to the financial prize. That implies the automatic transfer of Intellectual Property. You shall sell, assign, transfer and convey to challenger, all rights, title and interest in and to the solution, any work product related to the challenge, and you or your team retain no rights to the solution or any work product. By submitting your or your team's solution, you agree to provide, without additional compensation, reasonable assistance and additional information concerning your or your team's solution to C:F and the challenger, including, but not limited to, the execution of all papers and the actions deemed necessary by C:F or a challenger to ensure that the challenger acquires all rights, title and interest in and to the solution and any work product that are related to the Corporate Challenger, including all rights to all Intellectual Property embodied therein, and that ensures that all such rights are transferred to the Challenger. C:F shall pay you as the final winner the Award on the later of three weeks after the winner announcement at the final event. Notwithstanding anything contained in this Agreement and any Challenge-Specific terms, you will not be entitled to receive any payment under this Agreement if you cannot transfer the solution and any Intellectual Property contained therein to the Corporate Challenger.


11.
Representations and Warranties. You represent and warrant that:
a.
All information provided by you regarding yourself is true, accurate, current, and complete information and you will maintain and update the information to keep it true, accurate, current and complete.
b.
b. Unless otherwise disclosed in the team’s solution, you and your team are the owner(s) or authorized users of the intellectual property contained in a solution; and
i.
you are not obligated under any contract, employment agreement, employment relationship or any other relationship or commitment to assign any of your rights in the solution to an employer, university or academic institution, governmental entity or body, or any other third party;
ii.
the solution does not infringe or violate any applicable law or regulation, patent, copyright, trade secret, trademark, or other third party intellectual property right(s); and you are not aware of any threatened claim or challenge to your rights in the solution.

12.
Confidentiallity. "Confidential Information" includes: (a) all information set forth in the password protected areas of the Site, including, but not limited to, the Website, (b) any information contained in a Challenge and any Partner Intellectual Property; (c) all discussions between team members, regarding participation in the Challenge including but not limited to preparation of the solution, submission of the solution, and results of the Challenge; and (d) all activities in project Room. Confidential Information does not include: (a) information that is publicly known or available on the date you originally accepted this Agreement ("Effective Date"); (b) information that after the Effective Date becomes available to the public in a manner not involving a breach of any duty under this Agreement; and (c) information that must be disclosed by operation of law or court order, as long as, if you are compelled to disclose said information, you give C:F notice of the requirement to disclose and allow C:F time to contest the order or other form of compulsion to disclose. During the term of this Agreement and at all times thereafter, you shall not disclose to any third party nor use for any purpose other than for the performance of this Agreement, any Confidential Information without the express written consent of the owner of the Confidential Information.

13.
Termination. C:F may terminate the Website or deny you or any other user access to all or part of the Website without prior notice in its sole discretion and without penalty to C:F. C:F shall have no responsibility to notify any third parties of the termination of the Website or C:F's denial of your access to the Website, and neither shall C:F have any responsibility for any consequences resulting from such lack of notification or access. Termination by either party will be effective the day notice is received or such later date specified in the notice. Termination of this Agreement for any reason automatically terminates your license to use the Website, including, but not limited to any Partner Intellectual Property owned by either Premium Partners or Corporate Challengers or C:F. If being utilized at the time of termination of this Agreement, then Section 10, shall survive termination of this Agreement until the obligations thereunder have been fulfilled for any relevant Solution.

14.
Limitation of Liability and Warranty Disclaimers. Challenge:Future has no control over, and is not responsible for the acts or omissions of Partners, or the quality or legality of the solutions sought by virtue of the publication of a Challenge. C:F does not warrant or guarantee the accuracy or completeness of any Challenge, nor endorse any Partner/Challenger. C:F does not guarantee or warrant that your use of the Website will be uninterrupted or error free, or that the Website will meet your requirements. In addition, no warranty is made as to the results that may be obtained from use of the Website, or as to the accuracy, reliability, or content of any product, service, or information provided through or in connection with the Website. YOU EXPRESSLY AGREE AND UNDERSTAND THAT USE OF THE WEBSITE IS AT YOUR SOLE RISK. THE WEBSITE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTY FOR INFORMATION, DATA, SERVICES, OR UNINTERRUPTED ACCESS. SPECIFICALLY, C:F DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO: (1) ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, USEFULNESS, OR CONTENT OF INFORMATION, SOLUTIONS, OR THE WEBSITE; AND, (2) ANY WARRANTIES OF TITLE, OF NON-INFRINGEMENT, OF MERCHANTABILITY, OR OF FITNESS FOR A PARTICULAR PURPOSE. NEITHER C:F NOR ANY SPONSOR NOR ANY OF THEIR DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, REPRESENTATIVES, OR LICENSORS (COLLECTIVELY, "C:F ASSOCIATES") SHALL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY COMPENSATORY, DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT OR OUT OF ANY BREACH OF ANY WARRANTY. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, IN SUCH JURISDICTIONS LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. IN NO EVENT SHALL C:F'S OR THE PARTNER'S LIABILITY TO YOU UNDER THIS AGREEMENT EXCEED THE AMOUNT ACTUALLY OWING OR ACTUALLY PAID TO YOU UNDER SECTION 10. TERMINATION OF THIS AGREEMENT WITH C:F IS YOUR SOLE RIGHT AND REMEDY WITH RESPECT TO ANY DISPUTE WITH C:F.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to this Agreement must be filed within one (1) year after such claim or cause of action accrues, or be forever barred.

15.
Indemnification. You will indemnify C:F, its agents and employees, C:F Associates, and the Partners against and hold C:F, its agents and employees, C:F Associates and the Sponsors harmless from any and all claims, costs, damages, expenses and liabilities (including reasonable attorneys' fees and costs of litigation or defence incurred by C:F or a Partner), arising out of or relating to: (i) any violation or breach of any term of this Agreement by you or by anyone using your username and password, or (ii) any claim for payment of any part of a financial award, or any other compensation or salary asserted by any of your employers, employees, agents, partners, associates or subcontractors.

16.
Dispute Resolution. Any disputes as to the ownership of the solution is the sole responsibility of those bringing the dispute and must be brought to the attention of C:F within fifteen (15) days of the submittal of the solution accompanied by documented proof of ownership. Failure to do so forfeits all rights of ownership. Upon receipt of documented proof, C:F will perform an assessment and make a final non-disputable decision regarding ownership. For all other issues, this Agreement is governed by the laws of Slovenia, without reference to principles of conflict of laws. The parties hereby irrevocably submit to the jurisdiction of the courts of the Slovenia to settle any dispute or disagreement arising between and among any Student member, any Partner and C:F in connection with this Agreement.

17.
General Provisions. You and C:F acknowledge and agree that any Partner/Challenger shall be a third-party beneficiary of this Agreement. Nothing in this Agreement shall be construed to establish a joint venture, agency, employment, or other business relationship between you and the C:F or any Partner/Challenger. The failure of C:F or a Partner to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of the Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Agreement shall remain in full force and effect. Any ambiguities in this Agreement shall not be strictly construed against the drafter of the language concerned, but instead shall be resolved by applying the most reasonable interpretation under the circumstances, giving full consideration to the intent of the parties at the time of contracting. C:F shall have the right to assign this Agreement, or any rights hereunder, to any third party including a Partner/Challenger, and to sublicense any and all of its rights under this Agreement. Whenever possible, each provision of this Agreement will be interpreted in such manner as to be effective and valid under applicable law, but if any provision of this Agreement is held to be prohibited by or invalid under applicable law, such provision will be ineffective only to the extent of such prohibition or invalidity. Sections 11,12,13,14,15 and 16 shall survive termination of this Agreement.

You hereby acknowledge that you have read this Agreement and fully understand the nature and effect of it and the terms contained herein and that the said terms are fair and reasonable and correctly set out your understanding of the conditions applicable to your participation in a Challenge:Future. IF YOU DO NOT UNDERSTAND THIS AGREEMENT, SAVE IT, PRINT IT, AND SEEK LEGAL ADVICE REGARDING IT. UNTIL YOU DO UNDERSTAND ALL OF ITS TERMS AND CONDITIONS, YOU MAY NOT PARTICIPATE IN A CHALLENGE:FUTURE. C:F RESERVES THE RIGHT TO DISQUALIFY YOU FROM PARTICIPATING IN A CHALLENGE AT ANY STAGE.

The governing and official language of this Agreement, the Website, and Challenge:Future Policies is English.
